Welcome to Strommen Inc. (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your use of our websites at strommeninc.com and app.strommeninc.com (the “Sites”) and your purchase and use of our language tutoring services (the “Services”). By accessing our Sites or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our Sites or Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our Sites or Services.

2. Eligibility

You must be at least 18 years old to use our Services. If you are under 18, you may only use our Services with the consent and supervision of a parent or legal guardian. The parent or guardian agrees to be bound by these Terms on the minor’s behalf.

3. Description of Services

Strommen Inc. provides language education and related services, including:

• Private one-on-one language tutoring (online and in-person)
• Group language classes (online and in-person)
• Corporate language training programs
• Dialect coaching for entertainment professionals
• Translation and interpreting services

Lessons are typically one hour in duration unless otherwise agreed upon. Specific details regarding scheduling, lesson format, and tutor assignment are communicated at the time of booking.

4. Accounts and Registration

To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.

5. Payments and Pricing

• All payments are processed securely through Stripe. We do not store your credit card information.
• Prices for individual lessons, packages, and group classes are listed on our Sites and may change without prior notice.
• Lesson packages are available at discounted rates. Package pricing and terms are specified at the time of purchase.
• Payment is due at the time of purchase unless other arrangements have been made in writing.
• All fees are in U.S. dollars unless otherwise stated.

6. Cancellation and Rescheduling

• You must provide at least 24 hours’ notice to cancel or reschedule a lesson.
• Cancellations made with less than 24 hours’ notice will be charged for the full lesson or deducted from your package balance.
• No-shows (failure to attend a scheduled lesson without notice) will be treated as a late cancellation and charged accordingly.
• We reserve the right to cancel or reschedule lessons due to tutor unavailability or other circumstances beyond our control. In such cases, you will be offered an alternative time or a credit.

7. Refunds

• Individual lesson payments are non-refundable once the lesson has been completed.
• Unused lessons in a package may be eligible for a partial refund at our discretion. Please contact us to discuss your situation.
• Refund requests must be submitted in writing to [email protected].

8. Gift Certificates

• Gift certificates are available for purchase through our Sites or by contacting us directly.
• Gift certificates are non-refundable and may not be redeemed for cash.
• Gift certificates do not expire unless required by applicable law.

9. Tutors and Independent Contractors

All tutors engaged by Strommen Inc. are independent contractors, not employees. While we carefully vet and coordinate our tutors, Strommen Inc. is not responsible for the individual actions or opinions of any tutor outside the scope of their contracted services.

10. Intellectual Property

• All lesson materials, curricula, handouts, recordings, and other educational content provided through our Services remain the property of Strommen Inc. and/or the respective tutors.
• You may not reproduce, distribute, modify, or create derivative works from our materials without prior written consent.
• The Strommen Inc. name, logo, and branding are trademarks of Strommen Inc. and may not be used without permission.

11. User Conduct

When using our Sites and Services, you agree not to:

• Use our Services for any unlawful purpose
• Harass, abuse, or behave inappropriately toward tutors, staff, or other users
• Share your account credentials with others
• Attempt to gain unauthorized access to our systems or data
• Record lessons without the express consent of your tutor
• Solicit or contact Strommen tutors for private lessons outside of Strommen Inc.

We reserve the right to suspend or terminate your account for violations of these Terms.

12. Limitation of Liability

To the fullest extent permitted by law:

• Strommen Inc. provides its Services “as is” and makes no warranties, express or implied, regarding the quality, accuracy, or results of our tutoring services.
• Strommen Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Sites or Services.
• Our total liability for any claim arising from these Terms or our Services shall not exceed the amount you paid to Strommen Inc. in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Strommen Inc., its officers, directors, employees, tutors, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of our Sites or Services or your violation of these Terms.

14. Privacy

Your use of our Sites and Services is also governed by our Privacy Policy. By using our Sites, you consent to our collection and use of your information as described in the Privacy Policy.

15. Third-Party Links

Our Sites may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or availability of third-party sites. Accessing them is at your own risk.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or our Services shall be resolved in the state or federal courts located in Los Angeles County, California.

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a new “Last Updated” date. Your continued use of our Sites or Services after changes are posted constitutes acceptance of the revised Terms.

18. Severability
